Capchase Inc. (“we”) offers you the opportunity to participate in our referral program (the “Program”) to earn a cash reward by referring companies to use the financing product available through our online platform (the “Platform”). These terms and conditions (these “Terms”) apply to your participation in the Program. By referring a company and sharing the [promotion landing page](https://capchaseyc.framer.website/) (the “Page”) you will be deemed to have accepted and be bound by these Terms. We can modify these Terms by posting an updated version on the Page; by continuing to participate in the Program after the posting of any modification you will be deemed to have accepted it.
Eligibility
To be eligible to participate in the Program you must be a person who is at least 18 years old in the United States.
How it Works
We have sent you this Page so that you can refer prospective customer companies in the Y Combinator Winter 2022 batch. Such companies will be considered “Qualifying Referrals” if and once they meet all the following criteria: (1) the referred company enters your name, (2) neither the referred company nor any of its affiliates has a preexisting account on the Platform, and (3) the referred company is approved to fund their account on the Platform
At the time that a company you’ve referred becomes a Qualifying Referral (but not at any time before), we will notify you by sending an e-mail to the e-mail address associated with your Capchase account requesting the information necessary to process your reward of 250 U.S. dollars (the “Reward”). If you do not provide such requested information you will not be entitled to the Reward. After you have provided the information, we will wire the payment of the Reward to you in a reasonable amount of time.
Additional Terms
We reserve the right to terminate the Program at any time and for any reason by providing you notice or deactivating the Page.
You may only send the Page to companies whom you believe qualify for the promotion. You may not refer yourself or your employer nor may you use paid search marketing, advertisements, affiliate networks or other similar methods to distribute the Page.
The Reward may qualify as taxable income for you, and you are responsible for all taxes that result from your receipt of the Reward. We may not be obligated to report federal and state taxes to taxing authorities but may do so.
We reserve the right to not pay or to cancel any Reward if we believe your participation in the Program has violated these Terms or any applicable law or if we believe you participation in the Program has been abusive, unethical or fraudulent.
We do not make any warranties, whether expressed or implied, regarding the operation of the Platform.
We are not associated with Y Combinator nor do we have or imply any ability to act on their behalf. This Program is offered solely by Capchase.
These Terms constitute the entire agreement between you and us with respect to the Program. No other agreements will apply unless they are in writing and explicitly override these Terms. Except where prohibited, any disputes, claims and causes of action arising out of or related to these Terms, the Program or any Reward shall be resolved under New York law (without reference to its conflicts of laws principles), and you agree to submit any dispute to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
